1. Acceptance of Terms
Welcome to SUMMON ("Platform"), operated by Unstuck Labs LLC ("Company," "we," "us," or "our"), located in Arlington, Virginia. By accessing or using summon.dev and any related services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform.
These Terms constitute a legally binding agreement between you and Unstuck Labs LLC. Your continued use of the Platform after any modifications to these Terms constitutes acceptance of those changes.
2. Eligibility
You must be at least 13 years of age to use SUMMON. If you are between 13 and 18 years old, you may only use the Platform with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms. By using the Platform, you represent and warrant that you meet these eligibility requirements.
3. Account Registration & Security
To access certain features, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration.
- Maintain the security of your password and account credentials.
- Promptly notify us of any unauthorized use of your account.
- Accept responsibility for all activities that occur under your account.
We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe have been compromised.
5. Credits, Billing & Refunds
Credits System
SUMMON operates on a credits-based system. Credits are used to access AI features, hire developers, and utilize premium Platform services. Credits are non-transferable and have no cash value outside the Platform.
Billing
Payments are processed through Stripe. By purchasing credits or subscribing to a plan, you authorize us to charge your payment method. All prices are in US Dollars unless otherwise stated. You are responsible for any applicable taxes.
Refunds
Unused credits may be refunded within 14 days of purchase, provided they have not been partially consumed. For developer marketplace services, refund eligibility is determined on a case-by-case basis. Disputes regarding developer work quality will be handled through our dispute resolution process. We reserve the right to deny refund requests that we determine are fraudulent or abusive.
6. User Content & Intellectual Property
Your Content
You retain all ownership rights to the code, projects, and other content you create using SUMMON ("User Content"). We do not claim ownership of your User Content.
License to SUMMON
By using the Platform, you grant Unstuck Labs a non-exclusive, worldwide, royalty-free license to host, display, reproduce, and distribute your User Content solely for the purpose of operating and improving the Platform. This includes displaying project showcases, thumbnails, and descriptions in public-facing areas of the Platform (e.g., template galleries, featured projects).
AI-Generated Code
Code generated by SUMMON's AI tools is provided to you without restriction. You are free to use, modify, and distribute AI-generated code. However, AI-generated code is provided "as-is" and you are responsible for reviewing, testing, and ensuring its suitability for your purposes.
SUMMON IP
All rights, title, and interest in the Platform itself-including its design, branding, AI models, algorithms, and underlying technology-remain the exclusive property of Unstuck Labs LLC.
7. "Built with SUMMON" Badge
Projects created on the free tier of SUMMON will display a "Built with SUMMON" badge or watermark. This badge must remain visible and unaltered on free-tier projects.
Users on paid plans may remove the "Built with SUMMON" badge from their projects. Removing or obscuring the badge on free-tier projects is a violation of these Terms and may result in account suspension.
8. Developer Marketplace
Independent Contractors
Developers available through the SUMMON Marketplace are independent contractors, not employees, agents, or representatives of Unstuck Labs LLC. We do not control the manner or method by which developers perform their work.
Platform Role
SUMMON acts as a platform facilitating connections between clients and developers. While we vet developers, provide quality assurance tools, maintain engagement records, and may help resolve disputes, developers are independent contractors.
Developer Terms
Developers are subject to the separate Developer Agreement. Clients engaging developers agree to the marketplace terms, including our dispute resolution process and payment policies.
9. Work Packs, Audit Logs & Verification
When you engage a developer through SUMMON, the Platform may create a work pack connected to the client, developer, project, scope, payments, repository activity, approvals, and related engagement events. The work pack is intended to create a clear record of who accepted what work, when it was accepted, what was delivered, and how payment was handled.
Work packs may include confidentiality obligations, non-disclosure terms, intellectual property assignment terms, paid-work records, task scope, milestone approvals, commit or pull request references, dispute records, and verification receipts. Engagement-specific terms may supplement these Terms and the Developer Agreement.
SUMMON may generate cryptographic hashes, timestamps, or smart-contract verification receipts for certain work pack events. These verification records are designed to prove that an event or agreement existed without publicly exposing private source code, business logic, credentials, client messages, or payment details.
The Platform record is an operational and evidentiary tool. It does not guarantee that disputes, intellectual property misuse, data loss, or damages cannot occur. You remain responsible for reviewing code, managing secrets, approving repository access, and using appropriate legal counsel for your specific circumstances.
10. Prohibited Uses
You agree not to use the Platform to:
- Violate any applicable law or regulation.
- Create malware, viruses, or other harmful software.
- Generate content that is illegal, defamatory, or infringes on third-party rights.
- Attempt to reverse-engineer, decompile, or disassemble any part of the Platform.
- Scrape, crawl, or use automated means to access the Platform without authorization.
- Interfere with or disrupt the Platform's infrastructure or other users' access.
- Impersonate any person or entity or misrepresent your affiliation.
- Use the Platform to compete directly with SUMMON without written consent.

11. Disclaimers
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT: (A) THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; (B) AI-GENERATED CODE WILL BE ACCURATE, COMPLETE, OR FREE OF BUGS; (C) DEVELOPERS IN THE MARKETPLACE WILL MEET YOUR SPECIFIC REQUIREMENTS; OR (D) ANY DEFECTS WILL BE CORRECTED.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNSTUCK LABS LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).
13. Termination
We may suspend or terminate your account at any time for any reason, including but not limited to violation of these Terms. Upon termination:
- Your right to access the Platform ceases immediately.
- We may delete your account data after a reasonable retention period (typically 30 days).
- You may request an export of your User Content prior to termination.
- Unused credits are forfeited unless a refund is required by applicable law.
You may terminate your account at any time by contacting us or using the account deletion feature in your settings.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Arlington County, Virginia.
You agree to waive any right to a jury trial in connection with any action or litigation arising under these Terms.
15. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Platform and updating the "Effective Date" above. Your continued use of the Platform after changes are posted constitutes acceptance of the revised Terms.
